Terms of Service

1. About NextMe
   NextMe is a guided conversation tool that helps users explore study and career directions using AI. The service is provided by Upgrade, trading as NextMe, with its principal place of business in Amsterdam, Netherlands. Contact: service@nextme.chat.

2. Agreement
   By purchasing or using NextMe, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the service.

3. Who may use NextMe
   You must be at least 16 years old to use NextMe. If you are under 18, you must have permission from a parent or legal guardian. You are responsible for keeping your access link or credentials secure.

4. What NextMe provides
   a. Access period. You receive access for [6 months] from purchase.
   b. Usage. Sessions are unlimited within the access period, subject to fair use and these terms.
   c. Third party services. To use NextMe with ChatGPT you need your own OpenAI account. Third party services are governed by their own terms and privacy policies, which you must follow. We do not control or guarantee third party services.

5. No professional advice
   NextMe provides general information and reflective prompts only. It is not a substitute for professional or licensed advice. The service does not provide psychological, medical, legal, financial, educational, or employment advice. All decisions you make are your responsibility.

6. No guarantees of outcomes
   We do not guarantee any result, job offer, admission, income, performance, or other outcome. AI outputs may be incomplete, inaccurate, or inappropriate. You should independently verify important information before acting.

7. Accounts, access, and acceptable use
   a. You agree not to misuse the service, attempt to access it without authorization, interfere with its operation, or use it for unlawful purposes.
   b. You agree not to prompt the AI to generate illegal, infringing, discriminatory, or harmful content.
   c. We may suspend or terminate access for violations, suspected fraud, or security risks.

8. Pricing, payment, and taxes
   a. Price. The current price is [€20] for [6 months] access, unless stated otherwise at checkout. Prices may change prospectively.
   b. Taxes. Prices may include or exclude VAT or sales tax depending on your location and our settings at checkout. You are responsible for any applicable taxes.

9. Right of withdrawal and refunds
   a. EU and UK consumers. By purchasing digital content that is supplied immediately, you expressly consent to immediate performance and acknowledge that you lose your statutory right of withdrawal once delivery starts. We will seek this consent during checkout.
   b. Refunds. Unless required by law, purchases are non-refundable once access has been delivered. If there is a technical issue that prevents use, contact support within 7 days and we will help restore access or provide a remedy required by applicable law.

10. Intellectual property
    All content, branding, and materials in NextMe are owned by us or our licensors. You receive a limited, personal, non-transferable license to use the service during your access period. You may not copy, resell, or redistribute the service or its outputs in a way that competes with NextMe.

11. Privacy
    We process your personal data as described in our Privacy Policy. For EU users we act as controller for our own processing and comply with GDPR, including having a lawful basis, data minimization, and honoring your rights. We use third party processors for hosting and email delivery. You are responsible for your own OpenAI account and any data you choose to share with OpenAI.

12. Service availability and changes
    The service may change or be interrupted for maintenance, security, or updates. Features may be modified or discontinued. If we materially reduce the core service during your paid access period, we will provide a reasonable remedy consistent with applicable law.

13. Disclaimers
    To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain disclaimers, so these may not apply to you.

14. Limitation of liability
    a. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption.
    b. Our total liability for any claim relating to the service is limited to the amount you paid for access during the twelve months before the claim, or €50, whichever is higher.
    c. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

15. Consumer rights
    Nothing in these terms affects rights that cannot be waived under mandatory consumer protection law. EU and UK consumers may bring claims in their local courts under mandatory law. US consumers may have rights under state law that remain in force.

16. Export and sanctions compliance
    You may not use NextMe in violation of applicable export control, sanctions, or embargo laws. You confirm you are not sanctioned or located in a sanctioned jurisdiction.

17. Governing law and venue
    These terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules. Courts in Amsterdam, Netherlands have exclusive jurisdiction, except that consumers domiciled in the EU or UK may bring proceedings in their local courts where required by law.

18. Changes to these terms
    We may update these terms from time to time. If we make material changes we will notify you by posting the new terms and updating the effective date. Continued use after changes means you accept the new terms.

19. Termination
    You may stop using the service at any time. We may suspend or terminate access if you breach these terms, misuse the service, or for security reasons. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.
